Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of Riley, the business receptionist service, and the nerdle.ai website, operated by NERDLE Communications Inc. ("NERDLE," "we," "us," or "our"), incorporated in Canada.

By submitting a request to get started, activating a Riley subscription, or using any NERDLE service, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. The Service

NERDLE provides Riley, a business communications service that handles inbound calls, SMS messages, and WhatsApp messages on behalf of your business. The service includes:

3. Trial Period

Your 14-day trial begins when you receive your dedicated Riley phone number and your account is activated. During the trial, Riley is fully operational for your business across all channels.

No payment is required during the trial period. Activating a paid subscription after the trial is entirely your choice. We will not charge you without your explicit authorization.

If you do not convert to a paid subscription by the end of the trial period, your Riley service will be deactivated automatically. You can reactivate at any time by selecting a plan and contacting our team.

4. Subscriptions and Payment

Billing

Paid subscriptions are billed monthly or annually in Canadian dollars. By subscribing you authorize NERDLE to charge your payment method on a recurring basis.

Setup fees

A one-time setup fee applies to each new subscription. Setup fees are described at nerdle.ai and confirmed before your onboarding session begins.

Refunds

We offer a 30-day money-back guarantee on setup fees if you are not satisfied with the service. Monthly subscription fees are non-refundable after the billing period begins. Annual subscription refunds are prorated on a case-by-case basis.

Price changes

We will provide 30 days written notice of any price increases. Annual plan clients are locked at their contracted rate for the full 12-month term.

5. Acceptable Use

You agree to use Riley only for lawful business communications purposes. You must not use Riley to:

You are responsible for ensuring your use of Riley complies with all applicable laws including CASL, PIPEDA, and PHIPA where applicable to your business.

6. Call Recording and Transcription

Riley transcribes and may record calls for the purpose of generating summaries and improving service accuracy. You are responsible for ensuring that call recording complies with applicable Canadian law, which generally requires that at least one party to the call is aware that recording is taking place. We recommend you configure an introductory message that informs callers that calls may be recorded.

7. Data Processing and Your Customers

When Riley handles calls, messages, and bookings on your behalf, NERDLE processes personal information belonging to your customers as a data processor acting on your instructions. You remain the data controller for your customers' information.

You are responsible for ensuring that your use of Riley as a data processor complies with PIPEDA and, where applicable, PHIPA. This includes ensuring your customers are aware that a third-party service handles communications on your behalf. We recommend updating your own privacy policy accordingly.

NERDLE will process your customers' data only to deliver the Riley service. We will not use it for any other purpose, share it beyond the service providers required to operate Riley, or use it to train AI models.

8. Healthcare Clients

If you operate a healthcare facility subject to PHIPA or applicable provincial health privacy legislation, you are responsible for ensuring your use of Riley complies with those requirements before activation. Contact hello@nerdle.ai before activating Riley for a clinical environment to discuss appropriate configuration and data handling requirements.

9. Intellectual Property

Riley, the NERDLE name, and all associated technology are the intellectual property of NERDLE Communications Inc. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service for your business during the subscription period.

You retain ownership of your business information, customer data, and conversation content. You grant NERDLE a limited license to process this data solely for the purpose of delivering the service to you.

10. Limitation of Liability

Riley is an automated communications system. It is designed to handle routine business communications reliably but it is not infallible. You acknowledge that:

To the maximum extent permitted by Canadian law, NERDLE's total liability to you for any claim arising from use of the service is limited to the fees you paid in the three (3) months preceding the claim.

NERDLE is not liable for indirect, incidental, consequential, or punitive damages including lost revenue or lost business arising from use of or inability to use the service.

11. Warranty Disclaimer

The Riley service is provided "as is" and "as available" without warranty of any kind, express or implied. NERDLE does not warrant that the service will be uninterrupted, error-free, or free of harmful components. To the maximum extent permitted by Canadian law, NERDLE expressly disclaims all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable Canadian law.

12. Force Majeure

NERDLE is not liable for any failure or delay in performance of the Riley service caused by circumstances beyond our reasonable control. This includes but is not limited to failures of third-party telecommunications networks, internet service disruptions, acts of government, natural disasters, or failures of upstream service providers. In such circumstances NERDLE will use commercially reasonable efforts to restore service as quickly as possible and will communicate with affected clients promptly.

13. Service Availability

We target 99.5% monthly uptime for the Riley service. Planned maintenance windows will be communicated in advance. Unplanned outages will be communicated as quickly as possible via email to active account holders.

Service credits for downtime exceeding our target are available upon written request and are applied to your next billing period.

14. Termination

You may cancel your subscription at any time by emailing hello@nerdle.ai. Cancellation takes effect at the end of your current billing period. Your data will be retained for 30 days after cancellation and then deleted, unless you request earlier deletion.

NERDLE may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or use the service in a way that creates legal or reputational risk for NERDLE or its other clients.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from these Terms shall be resolved in the courts of Ontario, Canada.

16. Changes to These Terms

We will provide 30 days notice of material changes to these Terms by email. Continued use of the service after the effective date of changes constitutes acceptance of the updated Terms.
